Job Responsibilities:
As a Legal Specialist, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world. Here, you will make an impact by:
- Supporting company subsidiaries with their annual governance and compliance process and other corporate legal resolutions, including Directors & Officers and other event-driven changes
- Supervising and directing the work of 3rd-party service providers for corporate and subsidiary governance
- Maintaining the company’s corporate records to ensure accuracy and completeness.
- Partnering with Legal, Treasury, Finance and Tax teams on governance aspects of corporate reorganizations/restructurings and serving as a resource on corporate and subsidiary governance matters
- Helping streamline and manage corporate governance processes and compliance risks.
Qualifications/Experience:
Required Qualifications:
- Bachelor’s Degree or higher from an accredited university
- 3 years of corporate registration procedures and coordinating with internal and external legal counsel on maintenance of governance tasks in support for legal entities.
- One (1) year of Experience using new technology for subsidiary management and governance.
- One (1) year of Experience performing legal research.
Additional Preferred Qualifications:
- Experience demonstrating ability to work on own, control a high volume and complex workload, and know when to escalate issues to an attorney.
- Solid proofreading skills.
- Comfortable working with all levels of management
- Comfortable handling sensitive issues confidentially and diplomatically.
- Proficiency in Excel (can maintain complex spreadsheets) and PowerPoint. Experience with an electronic board portal, such as Diligent Boards.
- Experience coordinating complex tasks with multiple team members with a strong focus on collaboration.
- Notary public qualification.
