Job Summary:

This role is positioned to drive the success of the Company.  The Legal Specialist, Corporate Governance & Entity Management will have the opportunity to tap into their curiosity and collaborate with some of the most innovative and diverse people around the world. Engaging the company subsidiaries with their annual governance and compliance process and other corporate legal resolutions, including Directors & Officers and other event driven changes.

 

Job Responsibilities:

  • Engaging the local legal entity directors by drafting or collaborating with outside vendors to draft corporate governance documents, such as agendas, resolutions, consents, minutes, and notices of meeting and maintaining the documentation in the company’s CSC database.
  • Performing other paralegal functions as assigned, including assisting with corporate governance matters and handling the administration of certain contracts.
  • Supervising and directing the work of 3rd-party service providers for corporate and subsidiary governance.
  • Maintaining corporate records to ensure accuracy and completeness.
  • Partnering with Legal, Treasury, Finance and Tax teams on governance aspects of corporate reorganizations/restructurings and serving as a resource on corporate and subsidiary governance matters.
  • Helping streamline and manage corporate governance processes and compliance risks.

Required Qualifications:

  • Bachelor’s Degree or higher from an accredited university AND seven (7) years of corporate registration procedures in the United States and coordinating with foreign legal counsel on maintenance of foreign subsidiaries experience in a private, public, government, or military environment.
  • 3 years of relevant work experience within a global company, a (legal) service provider, and/or a law firm.
  • One (1) year of Experience using new technology for subsidiary management and governance.
  • One (1) year of Experience performing legal research.

Additional Preferred Qualifications:

  • Ability to thrive in a fast-paced, deadline-driven environment.
  • Experience demonstrating ability to work on own, control a high volume and complex workload and know when to escalate issues to management.
  • Solid proofreading skills.
  • Comfortable handling sensitive issues confidentially and diplomatically.
  • Proficiency in Excel (can maintain complex spreadsheets) and PowerPoint.
  • Experience coordinating complex tasks with multiple team members with a strong focus on collaboration.
  • Notary public qualification.
